1. Acceptance of Terms

Welcome to Pallium. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Insight Finder, LLC, a Colorado limited liability company doing business as Pallium ("Pallium," "we," "us," or "our"), governing your use of the Pallium platform and services.

By creating an account, accessing, or using Pallium, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Additional conditions:

- You must be at least 16 years of age to use Pallium

- If you are using Pallium on behalf of an organization, you represent that you have the authority to bind that organization to these Terms

- These Terms incorporate our Privacy Policy by reference

1.1 Order of Precedence

If you or the organization with which you are affiliated has executed a Master Subscription and Services Agreement or Order Form with Pallium, those documents control your use of the service. In the event of conflict between documents, the Order Form prevails, then the Master Subscription and Services Agreement, then these Terms.

2. Description of Service

Pallium is an observational AI platform that provides organizational insights by analyzing data from your existing tools without disrupting workflows.

2.1 Platform Features

Our service includes:

- Read-only integration with third-party work tools, including Google Workspace (Gmail, Google Meet, directory, and limited calendar metadata), Microsoft 365 (Outlook and Teams), Slack, Fathom, and Read.ai

- Data analysis and insights generation using AI and machine learning

- Organizational signal detection and recommendations

- Workspace collaboration features

- Dashboard and reporting tools

2.2 Service Availability

The service is provided with ongoing updates and improvements made in our sole discretion. We reserve the right to modify, suspend, or discontinue any features or functionality at any time with or without notice, provided that, during a paid subscription term, no such modification or discontinuation will materially diminish the core functionality of the service taken as a whole. We are not liable for any damages that may arise as a result of such modification, suspension, or discontinuation of the service.

2.3 Beta Features

We may offer beta, experimental, or preview features. These features are provided without warranty and may contain bugs or errors. Beta features may be changed or discontinued at any time.

2.4 Security and Service Levels

Information about our security practices is available on our Security page and in our Privacy Policy. For customers with executed Order Forms, Service Level Agreements and support terms are defined in your Order Form or applicable addendum.

3. Account Registration and Security

3.1 Account Creation

To use Pallium, you must create an account by providing accurate and complete information during registration, a valid email address, and email verification.

You may only maintain one account per user. Sharing account credentials is prohibited. We reserve the right to refuse or terminate accounts at our discretion.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password, for all activity that occurs under your account, and for notifying us immediately of any unauthorized access or security breach. Pallium is not liable for any losses resulting from unauthorized use of your account.

3.3 Account Information

You must keep your account information current and accurate. We reserve the right to suspend accounts with inaccurate or outdated information.

4. User Responsibilities

When using Pallium, you agree to:

- Comply with all applicable laws, regulations, and these Terms

- Use the service only for lawful purposes

- Provide accurate information

- Maintain the security of your account credentials

- Take responsibility for users you invite to your workspace

- Comply with the terms of service of third-party integrations you connect (including Google, Microsoft, Slack, Fathom, and Read.ai)

- Ensure you (or your organization) have the authority and any required consents or notices to connect the data sources you connect (see Section 8.2)

- Not interfere with or disrupt the service or servers

- Not attempt to gain unauthorized access to any part of the service

5. Acceptable Use Policy

5.1 Prohibited Activities

You may not use Pallium to:

- Engage in illegal activity or distribute illegal content

- Harass, abuse, threaten, or intimidate others

- Send spam or unsolicited communications

- Distribute malware, viruses, or other harmful code

- Scrape, harvest, or collect data without authorization

- Reverse engineer, decompile, or disassemble the platform

- Circumvent security measures or access controls

- Impersonate others or misrepresent your identity or affiliation

- Violate intellectual property rights

- Monitor or analyze the communications of individuals whose data you have no authority to connect

- Use the service to develop competing products or for benchmarking without permission

5.2 Enforcement

We reserve the right to investigate suspected violations of these Terms, remove content or suspend accounts that violate these Terms, report illegal activity to law enforcement authorities, and monitor use of the service (though we have no obligation to do so).

6. Intellectual Property Rights

6.1 Pallium's Intellectual Property

The platform and services, including all logos, trademarks, copyrights, slogans, content, source code, API integrations, features, software, published works and articles advertising our solutions, displays, images, graphics, and online formatting originally developed by us or our representatives (collectively, "Pallium Intellectual Property") are owned by us, our licensors (if any), or other providers of such content, being expressly protected by United States and international copyright, trade dress, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Use of any Pallium Intellectual Property relating to the platform or services without our prior written authorization or outside the permitted uses in these Terms is strictly prohibited. We stress that the value of our platform and services is based, in large part, on the unique works of authorship, trade secrets, rights, generative models, generative engagement tools, and unique coding and design represented in the platform and services we deliver. As such, we will pursue all necessary action to protect the rights underlying our platform and services.

These Terms permit you to use the services solely for your individual business use. Accordingly, you must not unlawfully reproduce, distribute, resell, modify, or create derivative works of any of the Pallium Intellectual Property.

By using the services, you agree not to delete or alter any copyright, trademark, or other proprietary rights notices from copies (or print versions) of content and reports from the platform. EXCEPT AS SET FORTH IN THESE TERMS, NO RIGHT, TITLE, OR INTEREST IN OR TO PALLIUM INTELLECTUAL PROPERTY IS TRANSFERRED TO YOU, AND ALL RIGHTS NOT EXPRESSLY GRANTED ARE RESERVED BY US.

6.2 License Grant to User

Subject to these Terms, we grant you a limited, non-exclusive, nontransferable, and revocable right of access or license, as applicable, to review, engage with, and use the services as described herein for your own internal business purposes (collectively, the "Right of Access"). Your right of access may be terminated by you or your organization at any time, subject to the terms contained in the Master Subscription and Services Agreement, or by us in accordance with the terms of the Master Subscription and Services Agreement, account termination, or violation of these Terms.

6.3 Restrictions

In addition to the other prohibited activity contained herein, you may not:

- Copy, modify, or create derivative works of the platform or services

- Sell, rent, lease, or sublicense the service

- Remove, alter, or obscure copyright or proprietary notices

6.4 Trademarks

"Pallium" and our logos are trademarks of Insight Finder, LLC. You may not use our trademarks without prior written permission.

7. User Content and Data

7.1 Definitions and Ownership

"Your Data" means all proprietary and confidential information and data that you enter into Pallium, or that Pallium collects from third-party services you or your organization authorize (such as email threads, messages, and meeting transcripts), in each case in connection with the Service. Your Data does not include Aggregate Data.

"Aggregate Data" means data that has been aggregated or de-identified such that it does not identify, and cannot reasonably be used to identify, you, your organization, any specific user, or any individual person. Aggregate Data that Pallium uses or discloses outside your workspace is derived from usage and transaction data and is not derived from information received from Google APIs or from the content of your organization's communications from connected tools.

You retain ownership of all Your Data. This includes content from your integrated services and content you create within the platform.

7.2 License to Pallium

You grant Pallium a license to use, process, and store Your Data solely to provide, secure, and support the Service for you and your organization, including generating the insights, signals, and recommendations that are the Service's user-facing features.

AI and machine learning. Pallium uses AI and machine learning, including large language models, to generate insights from Your Data. Any learning, training, or fine-tuning that uses the content of Your Data is personalized — scoped to your organization's workspace and used only to provide and improve features for your organization. We do not use the content of Your Data to train generalized AI or machine learning models that serve other customers, and we do not use information received from Google APIs to develop, improve, or train generalized AI or machine learning models (see Section 8.4). We may use Aggregate Data and usage patterns (not communications content) to improve, optimize, and enhance the platform and develop new functionality.

This license is limited as described above and does not transfer ownership of Your Data to Pallium.

7.3 Data Responsibilities

You are responsible for backing up critical data, ensuring the accuracy and legality of Your Data, and securing the rights, permissions, consents, and notices necessary for the data you provide or connect (see Section 8.2).

7.4 Data Retention

We retain Your Data as described in our Privacy Policy. Upon account termination or disconnection of an integration, we delete the applicable data on the schedule described in the Privacy Policy, subject to legal retention obligations and backup cycles.

7.5 Third-Party Data

Data from integrated third-party services (such as Google Workspace, Microsoft 365, Slack, Fathom, and Read.ai) is also subject to those services' own terms and policies. You are responsible for complying with third-party terms.

8. Third-Party Integrations

8.1 Integrated Services

Pallium integrates with third-party services, including Google Workspace, Microsoft 365, Slack, Fathom, and Read.ai. You hereby consent to our use of third-party services to provide our own platform and services. To use these integrations:

- You must have valid accounts with these services

- You must comply with their terms of service and other policies

- You (or your organization's administrator) authorize Pallium to access data from these services on your behalf

8.2 Authorization and Scope of Access

When an integration is authorized, Pallium accesses only the data necessary to provide our services, on a read-only basis. Some integrations are connected by individual users through the provider's consent flow; others are connected at the organization level by an administrator (for example, tenant-wide consent in Microsoft 365, installing the Pallium app in Slack, or domain-wide delegation in Google Workspace). Where an integration is connected at the organization level, you represent that your organization has the authority to authorize that access for the personnel in scope and has provided any notices required by applicable law. You (or your administrator) can revoke access at any time through your account settings, the third-party service, or your organization's admin console. Changes to third-party services may affect Pallium functionality.

8.3 Third-Party Terms and Liability

You must comply with all third-party terms of service and other policies. Pallium is not a party to your agreements with third-party services and is not liable for third-party service issues, downtime, or changes.

8.4 Google API Services

Pallium's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Without limiting the foregoing: Pallium uses Google user data only to provide and improve user-facing features of the Service; does not transfer Google user data except as permitted by that policy; does not use Google user data for advertising; does not permit human access except as permitted by that policy; and does not use Google Workspace user data to develop, improve, or train generalized AI or machine learning models. You can revoke Pallium's access to your Google data at any time via your Google Account security settings (myaccount.google.com/permissions) or, for organization-wide connections, via your organization's Google Admin Console. See Section 3 of our Privacy Policy for a full description of what Google data Pallium accesses and how it is handled.

9. Payment and Billing

9.1 Pricing

Current pricing for paid plans (if applicable) is available on our website. Prices are subject to change with reasonable notice. All prices are exclusive of applicable taxes.

9.2 Payment Terms

For paid plans: subscription billing occurs on a recurring basis (monthly, annually, etc.); subscriptions automatically renew unless cancelled; you must provide a valid payment method; and you authorize us to charge your payment method for applicable fees.

9.3 Refunds

Refunds are provided at our discretion. Generally, we do not provide refunds for partial billing periods. To cancel your subscription, follow the cancellation process in your account settings.

9.4 Late Payment and Collections

If payment fails or becomes overdue, we may suspend or terminate your access to the service. You are responsible for any collection fees or costs incurred for overdue amounts.

9.5 Taxes

All fees are exclusive of taxes. You are responsible for paying applicable taxes, excluding taxes based on Pallium's net income.

9.6 Invoice Disputes

If you believe an invoice is incorrect, you must notify us within 30 days of the invoice date. Undisputed amounts remain due per the original payment terms.

10. Free Trial and Subscription

10.1 Free Tier

Pallium currently offers a free tier that includes access to core Pallium features, subject to limitations or restrictions as specified, with no payment required. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

10.2 Future Paid Plans

If and when paid subscription plans are introduced, we will provide advance notice. You will have the option to upgrade to a paid plan or continue using the free tier (subject to any changes in free tier features or limitations).

11. Termination and Suspension

11.1 Termination by User

You may terminate your account at any time by following the account deletion process in your settings or contacting customer support. For customers with executed Order Forms or Master Subscription and Services Agreements, termination rights are governed by those documents.

Upon termination, your access will be revoked and your data will be deleted according to our Privacy Policy.

11.2 Termination by Pallium

We may suspend or terminate your account: for violation of these Terms; for non-payment (if using a paid plan); for prolonged inactivity; for any reason with reasonable notice (for free accounts); immediately without notice in cases of serious violations or legal requirements; or in accordance with the terms of any Order Forms or Master Subscription and Services Agreements.

11.3 Effect of Termination

Upon termination: your access to Pallium is immediately revoked; your data is retained or deleted per our Privacy Policy; and certain provisions survive termination, including indemnification, disclaimers, and limitations of liability.

11.4 Suspension

We may temporarily suspend your account for investigation of suspected violations or in emergency situations. We will provide notice of suspension when reasonably possible.

12. Warranties and Disclaimers

12.1 Limited Warranty

Pallium warrants that:

- The Service will perform materially in accordance with published documentation

- The Service will be provided free of Malicious Code knowingly introduced by Pallium ("Malicious Code" means viruses, worms, time bombs, Trojan horses, and other harmful or malicious code, files, scripts, agents, applications, or programs)

- Services will be performed in a professional and workmanlike manner

12.2 Service Provided "As Is"

EXCEPT FOR THE LIMITED WARRANTY IN SECTION 12.1, ALL CONTENT, INFORMATION, MATERIALS, PRODUCTS, AND OTHER SERVICES INCLUDED ON, OR MADE AVAILABLE TO YOU BY US, AND THE ONLINE PLATFORM AND SERVICES ITSELF, ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, PLATFORM OR THE CONTENT AVAILABLE TO YOU THROUGH THE SERVICES OR PLATFORM. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES AND PLATFORM AND ANY OF THE CONTENT YOU GENERATE THROUGH THE SERVICES OR PLATFORM IS UNDERTAKEN AT YOUR SOLE DISCRETION AND RISK.

EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PLATFORM, SERVICES, SOFTWARE, AND DOCUMENTATION, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, UNINTERRUPTED OR ERROR-FREE OPERATION, AND ACCURACY, RELIABILITY, OR COMPLETENESS OF RESULTS.

12.3 User Responsibility

You use Pallium at your own risk. You are responsible for evaluating whether Pallium is suitable for your purposes and for implementing appropriate safeguards. You understand that AI is an evolving technology, and that outputs may contain information that is not accurate. Do not rely on information provided by the platform or services as a substitute for professional advice or as a sole source of truth or factual information. You are responsible for verifying each output for accuracy before using, sharing, or relying on any output. An output's reference to a third party or any of its services does not mean the third party endorses or is in any way affiliated with us. You are solely responsible for your decisions, actions, and omissions made in reliance on any output.

12.4 Beta Features

Beta, experimental, or preview features are provided without any warranty. They may contain bugs, errors, or defects and are subject to change or discontinuation without notice.

13. Limitation of Liability

13.1 Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PALLIUM BE LIABLE UNDER THESE TERMS OF SERVICE, INCLUDING ALL LINKED POLICIES OR TERMS REFERENCED HEREIN, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR ANY: (A) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (B) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS THAT MAY RESULT FROM YOUR USE OF THE SERVICES OR RELIANCE ON ANY OUTPUT; (C) LOSS OF GOODWILL OR REPUTATION FROM YOUR USE OF THE SERVICES; (D) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY NOT CAUSED BY US OR OUR SERVICES; (E) DAMAGES ARISING OUT OF USE OF OUR AI TOOLS TO THE EXTENT NOT RELATED TO A BREACH OR OMISSION ON THE PART OF US; (F) COST OF REPLACEMENT GOODS OR SERVICES IF YOU ELECT TO TERMINATE YOUR RIGHT OF ACCESS TO THE PLATFORM OR SERVICES; OR (G) ACT OR OMISSION OF ANY THIRD PARTY INCLUDING THIRD PARTY SERVICE PROVIDERS.

13.2 Liability Cap

IN ADDITION, IN NO EVENT WILL PALLIUM'S AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OF SERVICE UNDER ANY LEGAL OR EQUITABLE THEORY EXCEED THE GREATER OF (i) THE TOTAL AMOUNTS AND FEES PAID BY YOU TO PALLIUM FOR THE SERVICES IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR LOSSES; OR (ii) $100 USD.

14. Indemnification

14.1 User Indemnification

You agree to indemnify, defend, and hold harmless Pallium, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

- Your use of the service

- Your violation of these Terms

- Your violation of any third-party rights, including intellectual property or privacy rights

- Your data or content, including connecting data sources without the authority, consents, or notices required by applicable law

- Your negligence or willful misconduct

- Your reliance on any outputs

- Your violation of any applicable law or regulations

14.2 Defense and Settlement

We reserve the right to assume exclusive control of the defense and settlement of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims and will not settle any claim without our prior written consent.

14.3 Pallium Indemnification

Pallium will defend, indemnify, and hold you harmless from third-party claims alleging that the Service infringes any copyright, trademark, or trade secret, provided that you: (a) promptly notify Pallium of the claim, (b) allow Pallium to control the defense and settlement, and (c) cooperate with Pallium in the defense.

This indemnity does not apply to claims arising from: Your Data or content; modifications you make to the Service; combination of the Service with non-Pallium products; or use of the Service in violation of these Terms.

If the Service becomes subject to an infringement claim, Pallium may, at its option: (a) procure the right to continue using the Service, (b) modify the Service to be non-infringing, or (c) terminate your subscription with a pro-rata refund of prepaid fees.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution, the parties agree to attempt to resolve disputes informally. Please contact us at legal@palliumai.com with a detailed description of the dispute. We will work with you in good faith to resolve the issue within 30 days.

15.2 Binding Arbitration

If informal resolution is unsuccessful, disputes will be resolved through binding arbitration rather than in court, except as otherwise provided below. Arbitration is more informal than a lawsuit and uses a neutral arbitrator instead of a judge or jury.

Arbitration terms:

- Conducted under the rules of the American Arbitration Association (AAA)

- Individual arbitration only — no class actions or representative proceedings

- Arbitrator's decision is final and binding

- Judgment may be entered in any court of competent jurisdiction

15.3 Exceptions

Either party may pursue claims in small claims court or seek injunctive relief in court for intellectual property violations.

15.4 Class Action Waiver

YOU AND PALLIUM AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

15.5 Enterprise Customers

For customers with executed Master Subscription and Services Agreements, the dispute resolution provisions of that agreement apply instead of this Section 15.

16. Governing Law

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law principles.

16.2 Jurisdiction and Venue

To the extent arbitration does not apply, you agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Denver, Colorado.

17. Changes to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page.

17.2 Notice of Changes

For material changes to these Terms, we will provide notice by email to the address associated with your account, in-app notification or banner, and/or prominent notice on our website.

17.3 Acceptance of Changes

Your continued use of Pallium after changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the service and may delete your account.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pallium regarding your use of the service and supersede any prior agreements or understandings — except that, if you or your organization has executed a Master Subscription and Services Agreement or Order Form with Pallium, those documents govern as described in Section 1.1.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.

18.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate, successor, or in connection with any merger, acquisition, or sale of assets.

18.5 Force Majeure

Neither party is liable for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet outages.

18.6 Export Control

You agree to comply with all applicable export control and sanctions laws. You may not use Pallium in violation of any export restrictions or embargoes.

18.7 Government Users

If you are a U.S. government entity, Pallium is a "Commercial Item" as defined in FAR 2.101 and is provided with only those rights as are granted to non-governmental customers.

18.8 Notices

Official notices will be sent to the email address associated with your account. You are responsible for keeping your contact information current. Notices to Pallium should be sent to legal@palliumai.com.

19. Confidentiality

19.1 Confidential Information

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

19.2 Protection

Each party agrees to: (a) use the other party's Confidential Information only to exercise rights under these Terms, (b) protect Confidential Information using reasonable care, and (c) not disclose Confidential Information except to employees and contractors with a need to know who are bound by confidentiality obligations.

19.3 Exceptions

Confidential Information does not include information that: is or becomes publicly available without breach of these Terms; was known to the receiving party before disclosure; is independently developed; or is rightfully obtained from a third party.
